Licensing Agreements
This Licensing Agreement is a legal agreement between you or the entity you represent and appsforapplevision.com ("appsforapplevision"). This Agreement governs your access and use of the appsforapplevision platform and services (“Services”). By accessing or using the Services, you agree to be bound by the terms of this Agreement.
This Agreement becomes effective on the date you first access or use the Services ("Effective Date"). If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have authority to bind such entity to the terms of this Agreement.
License Grant
As a registered user of the Services, appsforapplevision grants you a limited, non-exclusive, non-transferable license, subject to this Agreement, to:
- List and promote your apps on the appsforapplevision directory
- Use the appsforapplevision branding and trademarks to promote your participation
You may not sublicense, resell, rent, lease or transfer your rights under this Agreement to any third party without appsforapplevision's prior written consent. Any attempt to transfer, sublicense or assign any rights, duties or obligations under this Agreement is void.
Content Standards
You shall not upload, post or otherwise distribute any user-generated content that:
- Is unlawful, threatening, abusive, harassing, defamatory or libelous
- Infringes or violates third party intellectual property or other rights
- Contains any viruses, spyware, malware or other harmful code
appsforapplevision reserves the right to remove any content for any reason. Repeated violations of the content standards may result in account termination.
Prohibited Activities
You shall not engage in any activities related to the Services that are illegal or improper, including but not limited to:
- Stalking, intimidating or harassing any user
- Interfering or disrupting the Services
- Attempting to reverse engineer any portion of the Services
- Obtaining or attempting to obtain any materials or information through any means not intentionally made available by appsforapplevision.
Suspension & Termination
appsforapplevision may terminate this Agreement or your account immediately without notice if:
- You breach any of the terms of this Agreement
- Your usage adversely impacts the Services or other users
- appsforapplevision decides to discontinue the Services Upon termination, your license rights terminate and you shall cease all use and access of the Services.
Disclaimers
THE SERVICES AND ACCESS TO appsforapplevision ARE PROVIDED ON AN "AS IS", "WITH ALL FAULTS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY. appsforapplevision DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
Indemnification
You shall indemnify and hold appsforapplevision harmless from and against any breach of this Agreement and any claim or demand brought against appsforapplevision by any third party resulting from or arising out of your use of the Services, including but not limited to any claim alleging facts that if true would constitute a breach by you of this Agreement.
Limitation of Liability
YOU AGREE THAT appsforapplevision SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES RELATING TO OR ARISING OUT OF THIS AGREEMENT, REGARDLESS OF LEGAL THEORY.
Governing Law and Disputes
Unless otherwise required by a mandatory law of any jurisdiction, the Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by the laws of Germany. All the disputes shall be referred to the courts having substantive and local jurisdiction based on the address of the registered office of the Provider.
Entire Agreement
This Agreement represents the complete and exclusive statement of the agreement between you and appsforapplevision regarding access and use of the Services and supersedes all prior agreements, whether written or oral.
